Terms of Service

These terms explain how you may use Agentic UCP. By creating an account you agree to them. Please read them once; they are written to be understood.
1. What Agentic UCP does
Agentic UCP lets a business make its products and services discoverable and purchasable by AI shopping assistants through the Universal Commerce Protocol (UCP), and provides tools to create and manage advertising creatives and affiliate links. We read your public product information, publish a UCP profile for your business once it is approved, and hand shoppers over to your own checkout.
2. Accounts and approval
Every account and every business is reviewed before it goes live. We may approve, reject, pause or remove an account or business at our discretion, for example if we cannot confirm you control your website or your details are incomplete. You must give accurate information and keep it up to date, and you are responsible for activity under your account and for keeping your password secret.
3. Your business and your responsibilities
You confirm that you are authorised to act for the business and its website. You stay the merchant of record: you sell to your customers, take payment, deliver, issue refunds, handle returns and complaints, and follow the laws and platform rules that apply to you (including consumer, tax, advertising and privacy law). Product information we show to AI assistants comes from your website, so keep prices, stock and descriptions accurate.
4. Acceptable use
Do not use the service for unlawful, misleading or infringing content or products, to attack or overload any system, to access data that is not yours, or to point the service at addresses you do not own. We may block requests to private or internal addresses and may suspend access that puts the service or others at risk.
5. AI-generated content
Advertising creatives are produced with the help of third-party AI providers. Output can be inaccurate or unsuitable. You must review every creative before you publish it and you are responsible for what you publish. Product details and images you provide may be sent to those providers to generate the creative.
6. Third-party services
The service works with third parties such as AI providers, Google (for example Google Merchant Center, if you connect it) and AI shopping assistants. Their availability and rules are outside our control, and we do not guarantee that any assistant will show your products or that any sale will result.
7. Fees
We will tell you in advance before any fee applies to your account. Costs charged by your own platform, payment provider or advertising channels are yours.
8. Availability and changes
We work to keep the service running, but it is provided as available and may change or be interrupted. We may update these terms; when we change them materially we will ask you to accept the new version.
9. Ending your use
You can stop using the service at any time and ask us to close your account. We may suspend or end access if you break these terms. Content we published on your behalf will be taken down when your business is paused or removed.
10. Intellectual property
You keep your rights in your products, brand, content and creatives. You give us permission to use them as needed to run the service for you (for example to build your UCP profile, generate and display your ads). We keep our rights in the platform itself.
11. Liability
To the extent the law allows, the service is provided without warranties, and we are not liable for indirect or consequential loss, lost profits or lost sales, or for the acts of AI assistants, payment providers or other third parties. Our total liability for any claim is limited to the fees you paid us for the service in the three months before the claim arose.
12. Governing law
These terms are governed by the laws that apply where the Agentic UCP operator is established, and disputes go to the courts there, unless a mandatory consumer law says otherwise.
